Saroafrica is set to become a leading consumer, manufacturing, FMCG and integrated agricultural value chain group. In pursuit of this ambition Saroafrica is making significant investment in a Palm Plantation and Cassava to Ethanol Plant. We are recruiting to fill the position below:<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p><strong>Job Title: Legal and Governance Officer<\/strong><br \/>\n<strong>Location:\u00a0<\/strong>Lagos<br \/>\n<strong>Employment Type:<\/strong> Full-time<\/p>\n<p><strong>Responsibilities:<\/strong><br \/>\n<strong>Commercial Legal Service:<\/strong><\/p>\n<ul>\n<li>Work with Head Legal to manage all Company\u2019s real estate\/landed properties \u2013 ensure payment of relevant charges, perfection and registration of title for company properties.<\/li>\n<li>Research on commercial legal advice and solution for different aspects of the business<\/li>\n<li>Review documents and agreements for all SBUs<\/li>\n<li>Serves as liaison for all regulatory bodies as well as maintaining relationships with relevant legal bodies and trade associations.<\/li>\n<li>Keep company&#8217;s legal records of commercial agreements, permits, licenses and legal transactions with third parties and notify the Head Legal for prompt renewal of expired contracts.<\/li>\n<li>Maintain company&#8217;s intellectual property rights and trademarks \u2013 ensure prompt notification of renewals<\/li>\n<\/ul>\n<p><strong>Corporate Legal Services:<\/strong><\/p>\n<ul>\n<li>Review and provide strategic legal advice on documents and issues for all SBU\u2019s<\/li>\n<li>Review and advise management on legal implications of internal policies and procedures.<\/li>\n<li>Maintain all company\u2019s corporate books and registers \u2013 perform periodic due diligence on operating and non-operating companies, ensure compliance with all returns due to CAC.<\/li>\n<li>Liaise with Company secretary to ensure compliance with relevant regulations and maintaining a functional Company Secretariat Keep abreast and review of all relevant statutory laws, regulations, regulatory developments and industry initiatives applicable to Saro Group &amp; SBUs, advise management accordingly and ensure compliance.<\/li>\n<\/ul>\n<p><strong>Dispute Resolution:<\/strong><\/p>\n<ul>\n<li>Manage litigation and liaise with external lawyers, review progress of anticipated and outstanding litigation.<\/li>\n<li>Review ongoing staff cases and advice management accordingly.<\/li>\n<li>Provide advice on a case by case basis on how to manage the cases and claims by third parties.<\/li>\n<li>Negotiate with third parties to prevent un-warranted claims.<\/li>\n<\/ul>\n<p><strong>Governance:<\/strong><\/p>\n<ul>\n<li>Ensure strict implentation of Corporate Governance Framework and DOA in line with CAMA 2020<\/li>\n<li>Monitor compliance with Internal Governance Framework with weekly reporting.<\/li>\n<\/ul>\n<p><strong>Requirements:<\/strong><br \/>\n<strong>Education and Experience:<\/strong><\/p>\n<ul>\n<li>The ideal candidate must have obtained at least a Second-Class Upper Degree in Law at both University and the Nigerian Law School.<\/li>\n<li>2 &#8211; 3 years\u2019 relevant experience.<\/li>\n<li>Goods knowledge and use of Microsoft Office packages &amp; ERP systems (Knowledge of Navision&amp; SharePoint will be an added advantage).<\/li>\n<li>Age Requirement: 25 &#8211; 30 years old.<\/li>\n<\/ul>\n<p><b>To Apply:<\/b><br \/>\nInterested and qualified candidates should:<br \/>\n<strong><a href=\"https:\/\/saroafrica.com\/head-legal-services\/\" target=\"_blank\" rel=\"noopener\">Click here to apply online<\/a><\/strong><\/p>\n<p><strong>Application Deadline:<\/strong><br \/>\n3rd March, 2023.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Saroafrica International Limited (\u2018Saro\u2019) is an indigenous private sector player with 3 decades of experience in Nigeria.
