We are recruiting to fill the position below:<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p><strong>Job Title: Company Executive Secretary<\/strong><br \/>\n<strong>Location:\u00a0<\/strong>Benin City, Edo<br \/>\n<strong>Employment Type<\/strong>: Full-time<\/p>\n<p><strong>Job Description<\/strong><\/p>\n<ul>\n<li>We are seeking a competent Company Executive Secretary to provide essential support to our high-ranking officials.<\/li>\n<li>You will play a crucial role in organizing and maintaining the executive\u2019s schedule, as well as performing various administrative tasks.<\/li>\n<\/ul>\n<p><strong>Key Responsibilities<\/strong><\/p>\n<ul>\n<li>Corporate Governance: Ensure compliance with statutory and regulatory requirement and maintain an up-to-date knowledge of relevant legislation, regulations and best practices.<\/li>\n<li>Board Support: Organize and facilitate board and committee meetings, prepare agendas, draft minutes, and provide advice on corporate governance matters.<\/li>\n<li>Statutory Compliance: Ensure compliance with company law, listing regulations and other applicable laws and regulations. Maintain statutory registers, filing and documentation.<\/li>\n<li>Shareholders Relations: Manage shareholder communication, including the organization of general meetings, preparations of notices and coordination of proxy voting processes.<\/li>\n<li>Contract Management: Review and negotiate contracts, agreements and legal documents, ensuring compliance with legal requirements and protecting the company\u2019s interests.<\/li>\n<li>Record Keeping: Maintain accurate and up to date records, including board meetings, resolutions, legal contracts and other relevant documentation.<\/li>\n<li>Training and Awareness: Conduct training programs and workshops to enhance employees understanding of corporate governance, compliance and legal matters.<\/li>\n<li>Ethics and Integrity: Promote a culture of ethics, integrity, and transparency throughout the organization, ensuring adherence to the company\u2019s code of conduct.<\/li>\n<\/ul>\n<p><strong>Requirements and Skills<\/strong><\/p>\n<ul>\n<li>Bachelor&#8217;s Degree in Law, Business Administration, or a related field. Additional qualifications in company secretarial practice or corporate governance are highly desirable.<\/li>\n<li>Minimum of 5 years of experience as a company secretary or in a similar role, preferably in a publicly listed company or regulated industry.<\/li>\n<li>Knowledge: Strong understanding of corporate governance principles, company law, regulatory frameworks, and compliance requirements. Familiarity with relevant laws and regulations specific to the industry is advantageous.<\/li>\n<li>Communication: Excellent writing and verbal communication skills with the ability to draft clear and concise reports, minutes and legal documents.
